BOCA RATON, FL (Boca Post) (Copyright © 2026) — Boca Raton-based Redcon1 LLC has filed a civil lawsuit in Palm Beach County Circuit Court against Natural Vitamins Laboratory LLC, doing business as NV Labs, and Hivest Capital Partners US LLC, alleging contract breaches, defective manufacturing, deceptive practices, and related claims tied to Redcon1’s MRE Lite product line.

The case is styled Redcon1, LLC v. Natural Vitamins Laboratory, LLC d/b/a NV Labs, Hivest Capital Partners US LLC, Case No. 502026CA002722XXXAMB, and was filed March 9, 2026, in the Circuit Court of the 15th Judicial Circuit in and for Palm Beach County, Florida.

According to the complaint, Redcon1 is based at 701 Park of Commerce Blvd. in Boca Raton. The suit says NV Labs is a Florida company and that Hivest is a Delaware limited liability company registered to do business in Florida. Redcon1 is represented in the complaint by DarrowEverett LLP. No defense law firm is listed in the filed complaint.

The complaint alleges the dispute grew out of Redcon1’s decision in 2025 to move substantial manufacturing volume, including MRE Lite, to NV Labs after what it describes as extensive negotiations and representations that NV Labs could meet Redcon1’s timelines, quality standards, and product specifications. Redcon1 claims it then issued multiple purchase orders with fixed pricing and delivery dates, including orders beginning in May 2025 and additional orders through the fall of that year.

Redcon1 alleges that once those orders were accepted, NV Labs delivered some products late, partially delivered others, and never delivered some accepted orders at all. The complaint further claims NV Labs later demanded price increases after accepting certain purchase orders and refused to complete production unless Redcon1 agreed to higher pricing.

The suit also alleges that some finished MRE Lite products were defective and did not match Redcon1’s written specifications or approved samples. According to the complaint, the alleged defects included sour or off-profile taste, inconsistent flavor between lots, missing inclusions, agglomeration, watery texture, and products said to be materially different from bench-approved samples. The complaint says Redcon1 received consumer complaints between July and December 2025 that described the products as having unpleasant taste, clumping, hardness, and formula changes.

Redcon1 further claims the problems were not isolated and alleges NV Labs made undisclosed changes to formulas and ingredient inputs to reduce costs. The complaint says a Dec. 9, 2025 tasting session involving NV Labs’ chief operating officer resulted in acknowledgments of quality issues and failures in internal quality control, though the lawsuit alleges later correspondence tried to minimize those admissions.

As to Hivest, the complaint alleges the private equity firm directly participated in and influenced the business relationship, including discussions about liquidity, factoring, receivables, and production-related decisions while the alleged nonperformance was ongoing. Redcon1 claims Hivest exercised control over NV Labs and should be held liable under several theories asserted in the complaint.

The complaint includes claims for breach of contract, breach of express and implied warranties, violation of the Florida Deceptive and Unfair Trade Practices Act, fraudulent inducement, negligent misrepresentation, unjust enrichment, declaratory judgment, revocation of acceptance, civil conspiracy, tortious interference, fraudulent concealment, and alter ego liability. Redcon1 says it seeks damages to be determined at trial, including lost profits, cover costs, refunds, returns, restitution, declaratory relief, and other remedies. These are allegations made by the plaintiff and have not been proven in court.
